三 | 公司计划在嘉兴市南湖区投资建设“月产 20 万片 12 英寸轻掺衬底片、12 万片 12 英寸硅外延片项目”，项目意向总投资约 30 亿元（注：其中固定资产投资约 29 亿元）。据介绍，该项目建设周期为 5 年。项目将依托立昂微控股子公司金瑞泓微电子（嘉兴）有限公司现有厂房，由另一控股子公司金瑞泓昂芯微电子（嘉兴）有限公司负责建设。项目完全达产后，预计可实现年产值超过 13 亿元。公告显示，立昂微 12 英寸硅片产品坚持高端化、差异化发展路线，轻掺硅外延片在逻辑芯片、高压 BCD 工艺、PMIC 电源管理等高附加值应用领域已形成全系列产品覆盖。公司表示，当前硅外延片订单饱满，相同尺寸硅外延片平均销售单价显著高于硅抛光片。金瑞泓昂芯微电子（嘉兴）有限公司目前正在实施“年产 96 万片 12 英寸硅外延片项目”。若本次新项目落地实施，该公司将形成月产 20 万片轻掺衬底产能加月产 20 万片硅外延产能的完整生产能力。立昂微在公告中提示，本协议为框架性约定，项目投资金额、规模与正式协议及实际执行情况可能存在差距。项目尚需公司完成内部有权决策机构审议批准程序后，另行签署正式投资协议。此外，公司还提示了技术快速演进、市场竞争加剧等风险。该公司 2024 年度、2025 年度货币资金余额分别为 23.04 亿元、19.99 亿元，经营活动产生的现金流量净额分别为 8.11 亿元、8.39 亿元。立昂微表示，本项目资金来源主要依靠自有资金和自筹资金，实施本项目每年所需的投资金额不会对公司经营性现金流产生较大影响。该协议的签署不会对公司 2026 年财务状况和经营成果产生重大影响。
